Scope of services

Green Wave Creative provides digital marketing and lead generation services, including Google Ads management, Facebook Ads management, website design and development, AI automation, and related marketing services. The specific services to be provided will be agreed in writing between Green Wave Creative and the client before work begins.

Client responsibilities

To get the best results, clients agree to:

• Provide accurate and timely information about their business
• Respond to requests for input or approval within a reasonable timeframe
• Provide access to relevant accounts and platforms where required
• Make timely payments for services rendered

Payment terms

Payment terms, including amounts and frequency, will be set out in the agreement between Green Wave Creative and the client. Invoices are due within the timeframe specified on the invoice. Late payments may result in the suspension of services until the account is settled.

Ad spend, platform fees and other third party costs are the responsibility of the client and are separate from our service fees, unless agreed otherwise in writing.

Intellectual property and account ownership

The client owns all ad accounts, campaigns, customer data and related assets created or managed under this agreement. Green Wave Creative does not hold client accounts hostage. If the engagement ends, all accounts, data and access remain with the client.

Green Wave Creative retains ownership of any proprietary tools, templates or systems used to deliver services, unless otherwise agreed. Clients receive a licence to use any deliverables created for them.

Limitation of liability

Green Wave Creative takes care in delivering services but cannot guarantee specific results, as outcomes depend on factors outside our control, including market conditions, platform changes and client input. To the extent permitted by law, our liability is limited to the fees paid by the client for the services in question during the relevant period.

Termination

Either party may end the agreement by providing written notice as set out in the service agreement. Upon termination, the client remains responsible for fees owed for services already provided. All client accounts, data and access are transferred to the client immediately.

Governing law

These terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of New South Wales.
